Terms of Service

1. Eligibility

You must be at least 18 years of age to use the Platform. By using AgentVolt, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. Accounts

You must create an account to subscribe to AgentVolt Pro, download skills, access the Platform's MCP server, participate in the Affiliate Program, or list skills for sale. You are responsible for maintaining the confidentiality of your account credentials, API keys, and affiliate links, and for all activity that occurs under your account. You agree to provide accurate and complete information during registration and to keep it up to date. AgentVolt reserves the right to suspend or terminate accounts that violate these Terms.

3. The Platform

AgentVolt is a marketplace that connects skill partners ("Partners") with skill users ("Users"). AgentVolt is not the author or publisher of skills listed on the Platform. Each skill is created, uploaded, and maintained by its respective Partner. AgentVolt provides the infrastructure for discovery, subscription management, payment processing, delivery, MCP-based skill access, and security scanning. Skills are distributed as SKILL.md-standard packages compatible with Claude, ChatGPT, Cursor, Codex, Gemini, Copilot, OpenAI, Windsurf, and 20+ AI agents.

4. AgentVolt Pro Subscription

4.1 Plan and Pricing

AgentVolt Pro is offered at $49 per month ("Subscription Fee"). A 7-day trial is available for $1.00, which automatically renews at the standard Subscription Fee upon expiration unless canceled before the trial ends. Prices are in US Dollars. AgentVolt reserves the right to change pricing with 30 days’ notice to active subscribers. Enterprise or team arrangements may be available; contact support@agentvolt.ai.

4.2 What's Included

An active Pro subscription grants access to every skill in the AgentVolt marketplace — including all skills added after your subscription begins — for as long as your subscription remains active. Skills are available for unlimited download during the subscription period. No per-skill checkout is required. Free skills remain accessible to all users regardless of subscription status.

4.3 Cancellation

You may cancel your subscription at any time from your account dashboard. Upon cancellation, your subscription remains active until the end of the current billing period. After the billing period ends, access to Pro-gated skills will cease. Skills you have already downloaded may continue to be used locally per the license granted in Section 9.2.

4.4 Renewal

Subscriptions (and the $1 trial) renew automatically at the end of each billing period unless canceled. You will be charged via the payment method on file. If a renewal payment fails, AgentVolt may retry the charge. If payment cannot be collected after retries, the subscription will be canceled and Pro access will end.

4.5 Refunds

If you are not satisfied with your subscription, contact support@agentvolt.ai within 7 days of a charge and we will evaluate your request. AgentVolt reserves the right to decline refund requests that show evidence of abuse, such as repeated subscribe-and-refund patterns. Refunds, when issued, are processed to the original payment method.

5. Free Skills

AgentVolt offers certain skills free of charge. Free skills may be downloaded without a Pro subscription. Free skill availability is subject to change at AgentVolt's discretion. All other Terms — including license restrictions, prohibited conduct, and intellectual property provisions — apply equally to free skills.

6. MCP Server

AgentVolt operates a Model Context Protocol ("MCP") server that allows compatible AI agents to discover and interact with the Platform. Access to the MCP server is subject to your account credentials and subscription status. Your API key is personal to your account and may not be shared, published, or distributed to third parties. If AgentVolt detects that an API key is being shared across multiple users or systems beyond reasonable personal use, AgentVolt may revoke the key and suspend the account. AgentVolt makes reasonable efforts to maintain MCP server availability but does not guarantee uptime. Planned maintenance or unexpected outages may temporarily interrupt access.

7. Partner Program

7.1 Eligibility

Any registered user may apply to become a Partner and list skills for sale on the Platform. Partners must connect a valid Stripe account to receive payouts. Skills must be submitted as a valid SKILL.md-standard package.

7.2 Skill Submission and Review

All submitted skills are automatically subjected to a security scan covering: file structure validation, file type screening, dangerous command pattern detection, hardcoded secrets detection, obfuscated code analysis, and suspicious network access auditing. Each skill receives a security score. Skills that fail the automated scan may be rejected or flagged for manual review. AgentVolt reviews each submission before it goes live and reserves the right to reject, remove, or suspend any skill listing at its sole discretion for quality, safety, or policy reasons. The security scan is a best-effort measure and does not guarantee that a skill is free from all vulnerabilities or unintended behavior.

7.3 Partner Representations

By listing a skill, you represent and warrant that: (a) you are the original author of the skill or have all necessary rights to distribute it; (b) the skill does not infringe the intellectual property rights of any third party; (c) the skill does not contain malicious code, backdoors, or functionality designed to harm users or their systems; and (d) the listing description accurately describes the skill’s functionality.

7.4 Revenue Share

AgentVolt pays Partners a share of revenue attributable to their skills. The revenue share tiers are as follows, based on the Partner’s attributable monthly recurring revenue ("MRR"):

• 50% revenue share at baseline
• 55% revenue share upon reaching the first MRR milestone (as communicated by AgentVolt)
• 60% revenue share upon reaching the second MRR milestone (as communicated by AgentVolt)

AgentVolt reserves the right to modify the revenue share structure with 30 days’ notice to active Partners. Updated tiers apply to revenue generated after the effective date of the change.

7.5 Payouts

Payouts are processed via Stripe Connect. Payout schedules and minimum thresholds are communicated through the Partner Dashboard. AgentVolt reserves the right to withhold payouts pending investigation of suspected fraud or Terms violations.

8. Affiliate Program

8.1 Governing Document

Participation in the AgentVolt Affiliate Program is governed by the AgentVolt Affiliate Program Agreement, available at https://www.agentvolt.ai/affiliate-agreement. That agreement sets out the commission rates, attribution rules, payment terms, promotion restrictions, and dispute resolution provisions that apply to affiliates. Where these Terms and the Affiliate Program Agreement conflict on a matter concerning the Affiliate Program, the Affiliate Program Agreement controls. Note in particular that it requires disputes arising from the Affiliate Program to be resolved by binding individual arbitration, which differs from the general dispute provisions in Section 15 of these Terms.

8.2 Summary

The following is a non-binding summary provided for convenience. The Affiliate Program Agreement is the operative document.

• Any registered user may participate; upon enrollment you receive a unique affiliate link
• Attribution is last-click within a 90-day window
• 20% commission on individual skill and pack purchases made by referred users
• 20% recurring commission on each referred Pro subscription, for as long as that subscription stays active and paid
• Commissions are paid approximately 60 days after the end of the month the underlying payment was received, subject to a $50 minimum balance that carries forward

8.3 Fraud and Termination

AgentVolt may terminate your participation in the Affiliate Program at any time for violation of these Terms, the Affiliate Program Agreement, or suspected fraud. AgentVolt reserves the right to reverse or zero out commissions generated through self-referrals, click farming, or other fraudulent activity. Commission stops accruing on termination.

9. Intellectual Property

9.1 Skill Ownership

Partners retain full ownership of their skills. Listing a skill on AgentVolt does not transfer any intellectual property rights to AgentVolt. By listing a skill, you grant AgentVolt a non-exclusive, worldwide license to display, distribute, and deliver the skill through the Platform and MCP server for the purpose of operating the marketplace.

9.2 User License

When you access a skill through an active Pro subscription or download a free skill, you receive a personal, non-transferable license to install and use that skill for your own lawful purposes. You may not redistribute, resell, sublicense, or share the skill or its contents. Skills downloaded during an active subscription may continue to be used locally after subscription cancellation; however, you may not download new Pro-gated skills after cancellation.

9.3 AgentVolt IP

The AgentVolt name, logo, website design, and underlying platform technology are the intellectual property of AgentVolt LLC. Nothing in these Terms grants you any right to use AgentVolt's trademarks or branding without prior written consent.

10. Prohibited Conduct

You agree not to:

• redistribute, resell, or share downloaded skills with third parties;
• circumvent or attempt to circumvent security measures, download protections, or access controls;
• use the Platform or MCP server for any unlawful purpose;
• upload skills containing malicious code, backdoors, or harmful functionality;
• create multiple accounts to abuse free access, affiliate commissions, or subscription trials;
• share or publish your API key or affiliate credentials;
• use automated tools to scrape, copy, or extract skill content at scale;
• engage in self-referrals or click farming in connection with the Affiliate Program; or
• engage in any activity that disrupts the Platform or harms other users.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AGENTVOLT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. AGENTVOLT DOES NOT ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY SKILL LISTED BY PARTNERS. SKILLS ARE PROVIDED BY INDEPENDENT PARTNERS AND MAY CONTAIN ERRORS, INACCURACIES, OR DEFECTS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENTVOLT DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTVOLT LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, REVENUE, OR PROFITS. AGENTVOLT'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO AGENTVOLT IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

13. Indemnification

You agree to indemnify, defend, and hold harmless AgentVolt LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) any skill you submit to the Platform; or (d) your violation of any third-party right.

14. Termination

AgentVolt may suspend or terminate your account at any time for violation of these Terms, without prior notice. Upon termination, your right to use the Platform ceases immediately. Skills already downloaded and stored locally remain accessible subject to the license terms in Section 9.2.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising from these Terms or your use of the Platform shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts. To the extent permitted by law, you waive any right to a jury trial in connection with any dispute arising under these Terms.

16. Changes to These Terms

AgentVolt may update these Terms at any time by posting the revised version at agentvolt.ai/terms and updating the "Last Updated" date. Material changes will be communicated to affected users via email or in-platform notice. Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.

17. Miscellaneous

These Terms constitute the entire agreement between you and AgentVolt regarding the Platform and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will remain in full force. AgentVolt's failure to enforce any provision does not constitute a waiver. You may not assign your rights under these Terms without AgentVolt's prior written consent.
